Terms of Service

1. Acceptance of Terms

By accessing or using Sturdly ("Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree to these Terms, do not use our Service.

2. Services

Sturdly provides an automated compliance layer designed to help businesses identify and address accessibility and legal-risk issues on their websites. Our Service includes:

  • Automated WCAG scanning — Playwright-based crawls that test your pages against WCAG 2.1 and 2.2 success criteria using axe-core and custom rule engines.
  • Daily Autopilot monitoring — Scheduled rescans that detect regressions and new violations introduced by site changes.
  • AI-powered fix suggestions — Plain-English explanations and code remediation hints generated by AI models. These suggestions are informational only and must be reviewed and tested by a qualified developer before implementation.
  • Accessibility reports and dashboards — Structured findings organized by severity, WCAG criterion, and page, exportable as PDF or CSV.
  • WordPress plugin — The Sturdly WordPress plugin integrates monitoring and badge display into WordPress sites; it is governed by these Terms.
  • Remediation engineering services — Human engineering engagements to implement fixes on your codebase. These are provided under a separate Statement of Work and engagement agreement, which supplements these Terms.
  • Demand letter response kits — Structured documentation packages to support your response to accessibility demand letters. These are informational tools only and do not constitute legal advice or legal representation.
  • Team workspaces — Multi-seat accounts allowing multiple users within your organization to access shared scan results, reports, and settings.
  • Public compliance badge — An embeddable badge indicating that your site has been scanned; it does not certify compliance or legal conformance.
  • API access — Programmatic access to scan triggering, results retrieval, and monitoring configuration, subject to rate limits defined by your plan.

We may add, modify, or discontinue any feature of the Service with reasonable notice. Material reductions in core functionality for paid plans will be communicated at least 30 days in advance.

3. Account & Workspace

To access most features, you must register for an account. You agree to provide accurate, current, and complete information and to keep it updated. Each workspace has one designated owner account responsible for billing and administrative decisions. Additional team members may be invited and given role-based access; the workspace owner is responsible for ensuring that all team members comply with these Terms.

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@sturdly.com if you suspect unauthorized access.

4. Acceptable Use

You may only use our Service in compliance with applicable law and these Terms. In particular:

  • Authorized scanning only. You may only submit URLs for scanning that belong to websites you own, operate, or have explicit written permission to scan. Submitting URLs of websites without authorization is prohibited and may constitute unauthorized access under applicable computer fraud laws.
  • No competitive intelligence scraping. You may not use the Service to gather information about competitors' sites or to build datasets for resale.
  • No API abuse. Automated or scripted use of the API beyond your plan's documented rate limits is prohibited. Circumventing rate limits or attempting to overload our infrastructure is prohibited.
  • No misrepresentation. You may not represent Sturdly scan results as a legal certification of compliance or use our badge in a way that falsely implies legal safe harbor.

We reserve the right to suspend or terminate accounts that violate these rules without refund.

5. Subscription & Billing

Sturdly offers a free plan with limited scan credits and paid subscription plans billed monthly or annually. All billing is processed by Stripe. By subscribing to a paid plan, you authorize Stripe to charge your payment method on a recurring basis until you cancel.

  • Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you will retain access through that date.
  • No partial refunds. We do not issue refunds for unused portions of a billing period, except where required by applicable law.
  • Plan changes. Upgrades take effect immediately and are prorated. Downgrades take effect at the next renewal.
  • Remediation services. Remediation engineering engagements are billed separately under the applicable Statement of Work and are not governed by subscription cancellation terms.
  • Taxes. Prices do not include applicable taxes. You are responsible for all taxes associated with your use of the Service.

6. No Legal Advice

Sturdly is a software and engineering services company, not a law firm. Nothing in our Service, reports, demand letter response kits, AI fix suggestions, compliance badges, or any other output constitutes legal advice, legal representation, or the creation of an attorney-client relationship.

Automated scanning cannot detect all accessibility violations. WCAG conformance is a complex, context-dependent assessment that requires human judgment. Our scan results and AI suggestions are starting points for remediation work, not definitive determinations of compliance.

If you have received a demand letter, are facing litigation, or need guidance on your legal obligations under the ADA, the Rehabilitation Act, state accessibility laws, or any other statute, you must consult a qualified attorney. Do not rely on Sturdly output as a substitute for legal counsel.

7. Intellectual Property

Sturdly owns all rights in the Service, including software, scan engines, rule libraries, report templates, the WordPress plugin, the public badge, and all associated documentation and trademarks.

We grant you a limited, non-exclusive, non-transferable license to access and use the Service solely for your internal business purposes in accordance with these Terms. Reports and documentation generated for your account are licensed to you for your own use; you may not redistribute or resell them.

You retain all rights to your website content, source code, and data. By submitting URLs and content to the Service, you grant us a limited license to process that content solely to deliver the Service to you.

8. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STURDLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: ACCESSIBILITY LAWSUITS OR DEMAND LETTERS RECEIVED BY YOU; REGULATORY ACTIONS OR FINES; COMPLIANCE FAILURES; LOSS OF BUSINESS OR REVENUE; OR ANY DAMAGES ARISING FROM YOUR RELIANCE ON OUR REPORTS OR AI SUGGESTIONS.

IN ANY CASE, OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO STURDLY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

9. Termination

Either party may terminate the relationship at any time. You may terminate by cancelling your subscription and deleting your account. We may terminate or suspend your access immediately for material breach of these Terms, non-payment, or to comply with legal obligations.

Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days following termination, during which you may request an export. After 30 days, your data will be permanently deleted from our systems.

10. Governing Law

These Terms are governed by the laws of the State of New York, USA, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.

11. Changes to Terms

We may update these Terms from time to time. For material changes, we will notify you by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription before the effective date.
